In line 20, it says that the contingency-fee agreement "should be permitted only in cases where two conditions are satisfied".

That means that when either of those two conditions are not satisfied, we should not use the contingency-fee agreement.

In line 23-25, the first condition is that "the contingency-fee agreement must only be used as a last resort when all means of avoiding this type of arrangement have been exhausted".

Thus, we could restate that as (D) does by saying, 'If there's some other arrangement that would allow us to avoid using the contingency-fee agreement, then we should not use the contingency-fee agreement.'
